Vireel is a sole proprietorship and not a corporation, LLC, or other limited-liability entity.
Vireel is an AI-powered video clip generation platform that enables users to upload videos or provide video URLs, analyze content for viral potential, generate short-form clips with captions, and publish to social media platforms. The Service includes automated transcription, scene analysis, clip cutting, caption generation, and vertical reframing.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using Vireel, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
Your Content. You retain all ownership rights to the videos you upload and the clips generated from your content. Vireel does not claim ownership of your content.
License to Vireel. By uploading content, you grant Vireel a limited, non-exclusive, worldwide license to process, analyze, transcode, and store your content solely for the purpose of providing the Service. This license terminates when your content is deleted from our systems.
Your Responsibility. You represent and warrant that you own or have the necessary rights, licenses, and permissions to upload and process the content you submit. You are solely responsible for ensuring your use of the Service does not infringe any third-party rights, including copyrights, trademarks, or privacy rights.

The Service, including its design, interface, AI models, algorithms, and documentation, is owned by Vireel and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.
Vireel and the Vireel logo are trademarks. You may not use them without prior written consent.
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VIREEL DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT GENERATED CLIPS WILL BE SUITABLE FOR ANY PARTICULAR PURPOSE OR FREE FROM THIRD-PARTY INTELLECTUAL PROPERTY CLAIMS.
VIREEL DOES NOT GUARANTEE ANY SPECIFIC RESULTS, INCLUDING BUT NOT LIMITED TO VIDEO VIEWS, ENGAGEMENT, VIRALITY, OR REVENUE. AI-GENERATED CAPTIONS, SCORING, AND RECOMMENDATIONS ARE APPROXIMATIONS AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE.
YOU ACKNOWLEDGE THAT YOU USE THE SERVICE AT YOUR SOLE RISK. VIREEL IS NOT RESPONSIBLE FOR ANY CONTENT UPLOADED, GENERATED, OR PUBLISHED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIREEL, ITS OWNER, OPERATORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF VIREEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VIREEL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU ACTUALLY PAID TO VIREEL IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS (USD $50.00).
THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING BUT NOT LIMITED TO BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, AND ANY OTHER TORTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL, BUT SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Vireel, its owner, operators, affiliates, agents, and any third-party service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees and court costs) arising from or related to: (a) your use of the Service; (b) your content or any content you upload, process, or distribute through the Service; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; (e) any claim that your content caused damage to a third party; or (f) your violation of any applicable law or regulation. This indemnification obligation survives termination of your account and these Terms.
We may update these Terms from time to time. Material changes will be communicated via email or a notice within the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
You expressly acknowledge and agree that your use of the Service is at your sole risk. You assume full responsibility for any consequences arising from your use of the Service, including but not limited to: copyright or intellectual property claims related to content you upload or clips you publish; platform bans, strikes, or takedowns resulting from content you distribute; any loss of revenue, followers, or reputation; and any legal claims brought by third parties in connection with content processed through the Service.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Vireel agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service ("Dispute") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.
Class Action Waiver. YOU AND VIREEL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable, the entire arbitration provision shall be void.
Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict-of-law principles.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vireel regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
